Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the Noxy Services, including software development kits (SDKs), hosted relay infrastructure, and related tools (collectively, the “Services”) provided by Noxy Network (“Noxy,” “we,” “us,” or “our”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Description of Services
Noxy provides human-in-the-loop (HITL) infrastructure for AI agents: systems that orchestrate encrypted decision requests from autonomous systems to end-user clients (such as mobile push, web, or messaging platforms) so that humans can approve or reject proposed actions. Our Services include:
- SDKs for integrating client-side decision delivery and agent-side sending into your applications
- Hosted relay infrastructure for routing encrypted decision requests between agents, clients, and end users
- Documentation and developer resources
Decision requests are end-to-end encrypted and addressed to registered clients where applicable. Noxy cannot access the content of those requests; we relay encrypted data only. Our architecture is designed for reliable delivery and store-and-forward behavior, including when clients are in the background or temporarily offline.
2. Eligibility
You must be at least 13 years of age (or the age of majority in your jurisdiction, if higher) to use our Services. By using our Services, you represent that you meet these requirements and have the legal capacity to enter into these Terms.
3. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Transmit illegal, harmful, abusive, or fraudulent content
- Attempt to gain unauthorized access to our systems, other users’ accounts, or any third-party systems
- Interfere with or disrupt the integrity or performance of the Services
- Circumvent rate limits, authentication, or other security measures
- Use the Services to spam, phish, or engage in other deceptive practices
- Violate any applicable laws, regulations, or third-party rights
We reserve the right to suspend or terminate access for violations of these Terms.
4. Accounts and Security
Developer accounts (Create App dashboard)
To manage apps, API keys, and billing, you sign in with your email address. We send a one-time passcode (OTP) to that email to verify access. Noxy does not use or store passwords. Your developer account is tied to the email address you verify; you are responsible for maintaining access to that inbox and for all activity under your account.
You must provide an email address you control and keep it accurate. Sharing access to your email or session may allow others to access your Noxy dashboard, apps, and API credentials.
API credentials and end-user clients
When integrating Noxy SDKs, you are also responsible for:
- Protecting API keys, app IDs, and app signing secrets issued for your applications
- End-user device credentials and any wallet, email, phone, or user identifiers your integration uses for decision routing
- All activity that occurs through your apps and registered client devices
Noxy does not custody end-user assets or private keys. Loss of access to your email, credentials, or devices may result in loss of access to the dashboard, decision requests, or timely responses. We are not responsible for such losses except as required by applicable law.
5. Billing, Subscriptions, and Refunds
Noxy subscriptions are processed by Paddle.com Market Ltd. (“Paddle”), our authorized reseller and Merchant of Record. All billing, refund requests, and payment disputes are handled by Paddle on our behalf.
Free Tier
Noxy offers a free tier with 500 decisions per month. We encourage you to test the product fully before upgrading to a paid plan. No credit card is required to use the free tier.
Monthly Subscriptions
All paid plans are billed monthly. You may cancel your subscription at any time through your Noxy dashboard. Cancellation takes effect at the end of your current billing period — you retain full access until then and will not be charged again after that date.
We do not provide refunds for partially used billing periods. If you cancel mid-month, your plan remains active until the period ends.
Exceptional Refunds
We may issue a full or partial refund at our discretion in the following circumstances:
- You were charged due to a technical error or billing mistake on our part
- You did not use the service during the billing period and contact us within 7 days of the charge
- Noxy experienced significant downtime or service unavailability during your billing period
To request an exceptional refund, email contact@noxy.network within 14 days of the charge with your account email and a brief description of the issue.
EU and UK Consumers — 14-Day Withdrawal Right
If you are a Consumer residing in the EU, EEA, or UK, you have the right to withdraw from your subscription within 14 days of purchase without giving any reason.
Important: By activating a paid Noxy subscription and accessing the API, you expressly request immediate access to the service and acknowledge that your 14-day withdrawal right is waived upon first use of the service beyond the free tier.
If you have not used the paid service at all within the 14-day period, you may exercise your full withdrawal right by contacting us at contact@noxy.network.
Chargebacks
We encourage you to contact us directly before initiating a chargeback with your bank or card issuer. Most issues can be resolved quickly by email. Unjustified chargebacks may result in suspension of your account.

6. Open Source and License
Our SDKs software may be provided under open-source licenses (e.g., MIT). Your use of such software is subject to the applicable license terms. These Terms apply to your use of our Services generally, including hosted relay infrastructure and documentation.
7. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or secure. Third-party networks, email delivery, payment processors, and distributed systems may involve inherent risks. You use the Services at your own risk.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOXY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
Our total liability for any claims arising from or related to these Terms or the Services shall not exceed one hundred U.S. dollars (USD $100) or the amount you paid us in the twelve (12) months preceding the claim, whichever is greater.
9. Indemnification
You agree to indemnify, defend, and hold harmless Noxy and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Upon termination, your right to use the Services ceases immediately.
11. Dispute Resolution
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body, except where prohibited by law. You waive any right to participate in a class action or class-wide arbitration.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Noxy is organized, without regard to conflict of law principles.
13. Changes
We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
